Terms and Conditions

Last updated: 19 October 2026

1. Scope

  1. These terms and conditions ("Terms") apply to all contracts for the use of Ouray (the "Service") between [name / company, address] ("we", "us") and the users of the Service ("you").
  2. Deviating terms of users do not become part of the contract unless we expressly agree to them.
  3. A consumer within the meaning of these Terms is any natural person who enters into a legal transaction for purposes that are predominantly outside their trade, business or profession (Section 13 BGB).

2. Description of the Service

  1. The Service lets you create, store and play music based on text descriptions. [Specify the scope of the Service.]
  2. The scope of the Service is defined by its current description within the Service and the plan you have chosen.
  3. We may further develop and adapt the Service, provided the contractually agreed core of the Service is preserved and the change is reasonable for you.

3. Registration and user account

  1. Certain features require a user account. Only persons of legal age [or aged 16 and over] may register.
  2. You must provide truthful information when registering and keep your login credentials confidential.
  3. A user agreement is concluded once registration is complete.

4. Prices and payment

[Describe free usage and/or paid plans, prices incl. VAT, billing period, payment methods, term and automatic renewal.]

5. Your obligations

You agree not to misuse the Service, in particular:

  • not to enter or generate content that violates applicable law, third-party rights (e.g. copyright, trademark or personality rights) or public decency;
  • not to access the Service by automated means beyond its intended use;
  • not to compromise the security or stability of the Service.

6. Rights to content

  1. You retain all rights to the content you enter (e.g. song descriptions). You grant us the non-exclusive rights required to provide the Service.
  2. [Define usage rights for generated songs: scope, commercial use, restrictions per plan.]
  3. You are responsible for ensuring that your input does not infringe any third-party rights.

7. Availability

We strive to keep the Service available without interruption. Maintenance, security updates and disruptions beyond our control may lead to temporary limitations.

8. Term and termination

  1. You may terminate a free user account at any time without notice by deleting your account or contacting us.
  2. [Term and notice periods for paid plans; cancellation button pursuant to Section 312k BGB.]
  3. The right of either party to terminate for good cause remains unaffected.

9. Liability

  1. We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act and to the extent of any guarantee we have given.
  2. In the event of a slightly negligent breach of an essential contractual obligation (cardinal obligation), our liability is limited to the foreseeable damage typical for this type of contract. Essential contractual obligations are those whose fulfilment makes the proper performance of the contract possible in the first place and on whose compliance you may regularly rely.
  3. Otherwise, liability for slight negligence is excluded.

10. Right of withdrawal

Consumers have a statutory right of withdrawal. [Link or insert the withdrawal policy and model withdrawal form.]

11. Changes to these Terms

We may amend these Terms with effect for the future if there is a valid reason (e.g. changes in law, new features) and the amendment does not unreasonably disadvantage you. We will inform you of changes in text form in good time. [Define the procedure for consent or objection.]

12. Final provisions

  1. The laws of the Federal Republic of Germany apply, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice of law only applies insofar as it does not deprive them of the protection afforded by mandatory provisions of the law of the state in which they have their habitual residence.
  2. If you are a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction is [city].
  3. Should individual provisions of these Terms be invalid, the validity of the remaining provisions remains unaffected.
  4. In case of discrepancies between the language versions, the German version prevails.
